ETHICS CODE
Part 1 - Scope and field of application
This Ethics Code is designed to give you a broad and clear understanding of the conduct expected of all our employees. Each employee shall comply with the spirit of the Ethics Code and with the policies and procedures of the Company.
The Ethics Code applies to all directors, officers and employees of Shelve, who, unless otherwise specified, will be referred to jointly as “employees.”
Our mission is rooted in a set of core values. These core values, embraced by Shelve’s employees are the base of all our activities: integrity, privacy, accuracy, impartiality, reliability.
Part 2 - General principles
Shelve provides this Ethics Code to its employees for their guidance in recognizing and resolving properly the ethical issues they may encounter in conducting the Company’s business.
All new employees must sign an acknowledgment form confirming that they have read the Code and understand its provisions. Employees carry out their assignments in compliance with this Code of and Shelve’s business policies. Employees are prohibited from taking for themselves personally opportunities that are discovered through the use of Company property, information or position; from using company property, information or position for personal gain; and from competing with the Company.
Shelve encourages open, timely communications that help our achieve organizational goals, share information, increase understanding, participate in the decision-making process, enhance our pride in the organization and provide recognition for our work-related successes.
Shelve’s ability to serve its customers requires the efficient and proper use of the Company’s assets and resources. These include not only physical property, plant equipment and inventory, but other tangible assets such as securities and cash, office equipment and supplies, and information systems. It also includes intangible property such as software, trademarks, copyrights and know-how. Safeguarding Shelve’s assets is the responsibility of all employees. Employees must use and maintain such assets with care and respect while guarding against waste, abuse, unauthorized use or theft.
Part 3 – Impartiality
Employees must maintain the appearance of impartiality and neutrality. The decisions should be based on objective criteria, rather than on the basis of bias, prejudice, or preferring the benefit to one person over another for improper reasons.
Part 4 – Integrity
Employees are continually aware of the company’s mission, values, ethical principles, and ethical standards and practice in a manner consistent with them.
Employees must observe obligations of confidentiality and non-disclosure of confidential information and trade secrets of others, including suppliers and former employers, with the same degree of diligence that employees are expected to use in protecting Shelve’s own confidential information and trade secrets. Employees can not use the above-mentioned information to persue personal interests and obtain personal benefits or profits.
Part 5 – Privacy
Every employee should respect clients' right to privacy. Employees should protect the confidentiality of all information obtained in the course of professional service.
Employees can not disclose personal information to anyone outside the Company, except when disclosure is required for business purposes and appropriate steps have been taken to prevent misuse of the information.
Employees should protect the confidentiality of clients' written and electronic records and other sensitive information. Employees should take reasonable steps to ensure that clients' records are stored in a secure location and that clients' records are not available to others who are not authorized to have access.
Part 6 – Authorized usage of data
Employees can use client's personal information for the following purposes:
a) production/replication of phonograms as ordered by the client;
b) production/replication of videograms as ordered by the client;
c) production/replication of software as ordered by the client;
d) replication, data and documents storage as ordered by the client.
Part 7 – Non-authorized usage of data
Shelve’s employees must respect the legitimate intellectual property rights of others and privacy and can not use the information obtained in the course of professional service for:
a) reproduction of phonograms/videograms/software for personal use;
b) reproduction of phonograms/videograms/software for anyone outside the Company (except when replication is provided under the contract);
c) fraudulent alteration of records/documents.
Part 8 – Copyright Law and Code of Ethics violation
If Shelve undergos legal action for Copyright Law infringement, Shelve can take legal action against the employee who failed to comply with the present Code of Ethics or/and the Copyright Law, which is resulted in Copyright Law Infringement subject of the legal action against Shelve.
Part 9 – Control procedure
The Board of Directors has established special procedures in order to coordinate, implement and oversee compliance with the Code of Ethics and with the Company policies, procedures and standards on which it is based. Employees are expected to demonstrate their personal commitment to the Company’s standards of conduct and to communicate any suspected violations promptly. Violations of law or this Code or other policies of the Company are subject to discipline.
